Job Overview

We are seeking an experienced Legal Counsel to join our team. The successful candidate will provide legal advice on all aspects of commercial, operational, and regulatory matters to the Management, supporting sound business decisions for various investment entities.

Responsibilities

The incumbent will be responsible for reviewing, drafting, and negotiating commercial contracts, shareholding agreements, banking facility agreements, directors' resolutions, and other legal documentation as required. This includes providing legal support for mergers and acquisitions, due diligence, negotiation, and documentation processes. Additionally, the Legal Counsel will manage corporate governance matters and changes to corporate entities within APAC and other regions as required.

Key Responsibilities:
  • Review and draft commercial contracts, shareholding agreements, banking facility agreements, directors' resolutions, and other legal documentation.
  • Provide legal support for mergers and acquisitions, including due diligence, negotiation, and documentation processes.
  • Manage corporate governance matters and changes to corporate entities within APAC and other regions as required.
  • Advise on changes to legislation, licensing conditions, and industry frameworks in coordination with the compliance team to ensure compliance standards are met.

Requirements

To be successful in this role, you will need to have a law degree from a recognized university. Ideally, you will be familiar with local regulations pertaining to the property industry, with a strong understanding of corporate governance principles and Singapore's best practices. You should also have at least 2 to 3 years of PQE, with demonstrated experience in mergers and acquisitions, corporate law, and commercial legal advisory. Excellent problem-solving skills, with the ability to quickly identify issues and collaborate with stakeholders to provide effective solutions, are essential.
