Job Description

We are seeking an experienced Legal Counsel to lead our legal, compliance, and governance functions. This strategic leadership position requires expertise in U.S. securities law, corporate governance, and digital asset regulations. The ideal candidate will combine innovative approaches to strategic finance, M&A, and intellectual property management with a solid understanding of the crypto industry and its regulatory environment.

Responsibilities
  • Serve as the sole in-house legal counsel, providing strategic legal advice to executives and the management team.
  • Oversee all filings, reporting, and governance requirements for a NASDAQ-listed company, ensuring compliance with U.S. securities laws and SOX.
  • Provide legal guidance on digital assets, cryptocurrency, and blockchain operations.
  • Manage board resolutions, corporate secretarial support, and compliance processes.
  • Structure and negotiate commercial agreements, including those related to digital asset payment processing.
  • Develop and implement policies for AML, KYC, data privacy, and IP.
  • Lead legal aspects of financing, M&A, and joint ventures, with a focus on crypto-backed structures.
Requirements
  • Law degree holder (LLB/J.D.) qualified in Hong Kong, and/or other major common law jurisdictions.
  • Qualified lawyer with minimum 5 years PQE in a reputable international law firm or a top local law firm; including 2-3 years of experience supporting a listed company (NASDAQ or NYSE).
  • Strong background in corporate finance, M&A transactions, and complex commercial arrangements.
  • Solid understanding of the crypto industry and its regulatory environment.
  • Sound judgment on business practices, internal and external stakeholder relationship management and reputational risk.
  • Business driven and capable to facilitate business by providing solutions.
  • Well-organized, detail-oriented, presentable, and with excellent drafting and communication.
  • Business proficiency in spoken and written English and Chinese (Cantonese or Mandarin).
