Corporate Legal Expertise

Job Summary:

We are seeking a highly skilled Corporate Counsel to join our in-house legal team. As a key member of the team, you will play a crucial role in advising on international and domestic mergers, acquisitions, joint ventures, investments, and other strategic partnerships.

You will be responsible for driving internal corporate legal operations, collaborating closely with stakeholders to ensure alignment with our strategic and commercial objectives.

  • Mergers and Acquisitions: Lead M&A transactions, drafting, reviewing, and negotiating transaction documents, including SAFE/SAFTs, share and asset subscription/purchase agreements, shareholder agreements, and other investment term sheets and letters of intent.
  • Due Diligence: Oversee due diligence processes and liaise with external counsel, supervising and coordinating due diligence reviews, analyzing due diligence findings, and ensuring alignment with our strategic and commercial objectives.
  • Post-Investment Support: Provide post-investment legal support, managing signing and closing processes, assisting with post-closing integration tasks, ongoing portfolio company management, and ensuring compliance with investment terms and corporate governance protocols.
  • Internal Operations: Drive internal corporate legal operations, managing global corporate governance matters, including capitalization table administration, ESOP program documentation, intercompany agreements, and cross-border subsidiary maintenance and filings.
  • General Corporate Matters: Handle general corporate legal matters, drafting, reviewing, and negotiating commercial contracts, supporting vendor and counterparty due diligence processes, and overseeing ongoing legal relationships with key partners, suppliers, and service providers.

Requirements:

  • Licensure: Qualified to practice law in Hong Kong or other common law jurisdictions.
  • Experience: 3-6 years PQE with a focus on corporate transactions, solid experience in M&A is mandatory.
  • In-House Experience: In-house experience in a start-up environment and/or fintech or web3 industry is a plus.
  • Communication Skills: Excellent command of spoken and written English.
  • Regulatory Framework: Familiarity with both onshore and offshore deal structures and regulatory frameworks.
  • Project Management: Strong project management, organization, negotiation, and communication skills, with good business sense and strong legal analytical skills.
