
Highly Skilled Corporate Secretary

We are seeking a highly skilled Corporate Secretary to handle corporate secretarial duties for subsidiaries and associated companies.
Key Responsibilities:- Corporate Secretarial Duties: Handle full spectrum of corporate secretarial tasks, including company incorporations, striking off of companies, and preparation of directors' and shareholders' resolutions.
- Document Preparation: Prepare and manage corporate secretarial documents and filings.
- Compliance Management: Ensure compliance with relevant statutory requirements, maintenance of statutory registers, and submission of regulatory returns.
- Client Engagement: Manage a portfolio of clients, liaise with clients, and follow up on tasks to ensure seamless delivery.
- ACRA Filings: Ensure timely filing of ACRA documents and regulatory submissions.
- Board Meetings: Coordinate and assist with conduct of Board Meetings, Board Committee Meetings, and Annual General Meetings.
- Resolutions and Records: Assist with preparing resolutions, board agendas, board papers, and maintaining statutory records.
- Audits: Provide necessary documentation and information for internal and external audits.
- Annual Reports: Assist with the preparation of Annual Reports.
- Education: Diploma or Degree in Corporate Secretarial Studies / Law / or other related disciplines.
- Experience: At least 3-5 years of experience in corporate secretarial matters gained from law firms or corporate service providers.
- Skills: Familiarity with Companies Act, SGX Listing Manual, Code of Corporate Governance, and commercial practices. Conversant with ACRA filing and SGXNET. Proficient in both spoken and written English.
- Tools: Strong Microsoft Office skills, SharePoint, and document management.
