We are seeking an experienced legal professional to provide support for our infrastructure investment business across Asia Pacific.
In this role, you will assist in the structuring and management of infrastructure investment funds, as well as supporting the legal aspects of investment transactions.
You will lead the legal workstreams collaborating closely with internal stakeholders and external advisors, ensuring compliance with applicable laws and regulations.
Key Responsibilities:
- Fund-Related Legal Activities:
- Assist in the formation and structuring of infrastructure investment funds, including drafting and negotiating fund formation documents.
- Provide ongoing legal support to fund management, including advising on investor relations, fund governance, compliance, and regulatory issues.
- Work closely with internal stakeholders to ensure fund operations are legally compliant and efficient.
- Advise on investor side agreements, co-investments, and secondary transactions.
- Investment-Related Legal Activities:
- Provide legal advice and guidance on project development for infrastructure investments, including M&A, joint ventures, and project financings.
- Negotiate and draft transaction documents, such as share purchase agreements, asset purchase agreements, financing agreements, and joint venture agreements.
- Coordinate with external counsel and other stakeholders to ensure transactions are structured and executed in compliance with relevant laws and regulations.
- Provide practical advice to the investment team, helping to navigate legal risks and challenges related to transactions and portfolio management.
- Transaction and Project Support:
- Lead the legal aspects of M&A transactions, including due diligence, structuring, and negotiations.
- Support corporate and project financing activities, ensuring compliance with lender requirements and investment structures.
- Advise on corporate governance matters for joint ventures and subsidiaries.
- Support post-M&A integration, ensuring smooth transition and alignment with company policies.
- Compliance and Risk Management:
- Assist in managing compliance with local and international regulations affecting infrastructure investments.
- Monitor regulatory changes and advise the team on their impact on ongoing and future investments.
