ERM is seeking a motivated Principal Consultant (Transaction Advisory) to join our growing Mergers & Acquisitions service in Singapore, serving as a regional hub in ERM APAC. This is an excellent opportunity to work with a global sustainability consulting leader, handling challenging environmental projects for major industrial, financial, and global clients. Our worldwide network of EHS/ESG experts offers knowledge sharing and ongoing learning opportunities. The role also provides experience in sustainable finance and carbon markets as part of ERM's regional offerings.

ERM recognizes that each M&A deal involves unique ESG risks requiring rapid and rigorous assessment. With over 25 years of experience, we provide confidential, critical advice on environmental risks to facilitate key transactions. Our M&A Transaction Advisory services combine global capabilities with deep sector understanding across financial, industrial, and extractive industries.

Key due diligence services include:

• EHS/ESG/E&S due diligence for acquisitions, divestitures, mergers, joint ventures, capital raising, and project finance, including Equator Principles reviews.
• Carbon and energy due diligence.
• Post-merger Integration support.
• Management system, EHS culture, gap analysis, and benchmarking.
• Embedding social, stakeholder, and sustainability elements into due diligence.

Responsibilities:

• Lead or support client-facing BD/sales activities and go-to-market initiatives.
• Manage and perform ESG Due Diligence for various transactions, focusing on private equity and development finance mandates.
• Conduct E&S due diligence for project finance.
• Assess environmental and social risks, ensuring compliance with IFC Performance Standards and World Bank EHS Guidelines.
• Analyze ESG risks, including climate change, biodiversity, stakeholder engagement, labor practices, and community health and safety.
• Advise clients on integrating ESG considerations into M&A transactions, aligning with international standards like the Equator Principles.
• Lead and mentor a high-performing team of junior consultants.
• Collaborate with cross-functional teams for comprehensive assessments of financial, environmental, and social performance.

Requirements:

• Minimum 10 years of relevant experience, preferably in consultancy, with project experience in EHS/ESG/E&S Due Diligence, especially in private equity and DFI transactions.
• Deep understanding of IFC Performance Standards, World Bank EHS Guidelines, and their application in M&A contexts.
• Experience with ESIA, ESMP, ESMS development.
• Proven project management skills involving environmental permitting, compliance audits, and ESG integration post-merger.
• Excellent communication skills, both written and spoken.
• Ability to manage multiple medium-scale projects simultaneously.
• Experience in drafting and reviewing proposals efficiently.
• Effective leadership with empathy.
• Willingness and ability to travel, work independently, and adapt to flexible schedules.
• Familiarity with financial sector M&A trends in Singapore and the region, especially PE, multi-development banks, and commercial banks, is a plus.
