Roles & Responsibilities

Job Description

We are seeking an experienced Senior Company Secretary to support corporate governance and compliance. In this role, you will act as the custodian of board processes, statutory filings, and regulatory obligations under ACRA and relevant laws.

Key Responsibilities

Ensure corporate compliance: file annual returns, maintain accurate statutory registers, and monitor deadlines (e.g., AGMs, special resolutions, shareholders' filings)

Organize and support Board and general meetings—prepare agendas, board packs, minutes, and resolutions.

Serve as a liaison with ACRA and other regulatory bodies, managing correspondence and filings.

Advise the Board and management on corporate governance, director duties, conflicts of interest, and best practices

Maintain and update corporate records, resolutions, and ensure compliance with relevant rules.

Facilitate board induction, training, and ongoing governance improvements.

Provide advice to new clients on company incorporation matters.

Manage a portfolio of multiple corporate secreterial clients.

Requirements

Qualifications: Membership or qualification with The Chartered Governance Institute or equivalent recognized body preferred.

Experience: At least 5 in secretarial or governance roles in Singapore.

Strong knowledge of Singapore's Companies Act, ACRA regulations, and governance frameworks.

Excellent communication, attention to detail, and stakeholder management skills.
