Legal Counsel, Transactional M&A

Our client is a leading US-listed Internet company with a diverse portfolio of business units spanning various industries. We are committed to innovation, growth, and delivering exceptional value to our customers and stakeholders.
We are seeking a talented and experienced Legal Counsel specializing in Transactional M&A to join our dynamic legal team at the group level. This is a unique opportunity for a motivated individual to contribute to global deals and play a pivotal role in the company's strategic initiatives.
Responsibilities:
- Provide expert legal advice and support on a wide range of transactional matters, with a focus on M&A activities.
- Collaborate closely with internal stakeholders, including senior management, finance, and business development teams, to assess legal risks and opportunities associated with proposed transactions.
- Draft, review, and negotiate a variety of transactional documents, including purchase agreements, due diligence materials, and ancillary agreements.
- Conduct legal research and analysis to ensure compliance with relevant laws, regulations, and corporate policies.
- Manage external counsel and other advisors as necessary to support transactional activities.
- Stay abreast of legal and regulatory developments impacting the company's business and industry.
Qualifications:
- Juris Doctor (JD)/LLB degree from an accredited law school.
- Admission to the bar in the jurisdiction of practice.
- 3 to 6 years of experience in transactional M&A practice, ideally gained at a top-tier local firm or international law firm.
- Strong understanding of M&A processes and best practices, including due diligence, deal structuring, and negotiation.
- Excellent drafting, negotiation, and communication skills.
- Ability to thrive in a fast-paced, entrepreneurial environment and effectively manage multiple priorities.
- Proactive, detail-oriented, and able to work both independently and collaboratively within a team.
- High level of integrity and professionalism.
