The opportunity

Functioning as the subject matter expert and primary support to the General Counsel on corporate secretarial matters for Manulife (Singapore) Pte Ltd (MLS), Manulife Financial Advisers Pte Ltd (MFA) and Manulife Financial (Singapore) Pte Ltd (MFSL). This role will be responsible for assisting with coordinating various Board and Board-level committee meetings and related follow-up documentation, completing annual filings and ensuring minute books are up to date. In addition, this role will be functioning as the primary support in debt recovery matters and in administering the representative agreements. This role requires active and effective management of stakeholder relationships, both internal and external.

Responsibilities:

  • Serve as a primary contact for preparing and storing electronic Board papers and materials.
  • Draft various corporate resolutions, meeting minutes, agreements and legal correspondence.
  • Coordinate the various aspects of the meetings of the Board, Board-level committees and annual meeting of the shareholder(s).
  • Assist with the preparation of the directors' disclosure documents.
  • Filing of corporate disclosure, material change documents and other statutory or regulatory filings with ACRA and other regulatory filings with the Monetary Authority of Singapore.
  • Maintain corporate and department records including administering and organizing the Legal & Compliance file and record keeping system.
  • Maintain Minutes Books of MLS, MFA and MFSL.
  • Maintaining the legal department's SharePoint site and updating corporate governance library.
  • Assisting in ad-hoc projects or assignments as may be determined by the General Counsel.
  • Conducting research on legal, corporate governance and regulatory matters as required.
  • Provide primary support for debt recovery matters and the administration of representative agreements.

Key Requirements:

  • Minimum 4-6 as a paralegal specialising in corporate secretarial work in leading financial institutions in Singapore.
  • Law education qualification from reputable learning institutions.
  • Working knowledge of MAS regulations and guidelines
  • Strong interpersonal, communication and analytical skills

  • Excellent interpersonal skills with fluency in written and spoken English
  • A self-starter who is independent and able to take the initiative
