Overview

A group holding company of an advanced engineering component manufacturer with regional footprints across Europe and Asia is currently seeking a seasoned Group Legal & Corporate Secretarial Counsel to report to the Group General Counsel.

This is a dual-function role that combines both corporate secretarial and legal responsibilities. On the corporate secretarial side, you will handle statutory lodgements with ACRA, prepare annual filings, board and shareholder resolutions, minutes and statutory registers, and organise board and committee meetings. You will also maintain governance documents, liaise with external service providers, and ensure the organisation remains fully compliant with regulatory requirements.

On the legal side, you will support the group’s European subsidiaries as they expand into China and Taiwan, advise on incorporation matters, review and negotiate commercial contracts, and provide M&A support including drafting term sheets and agreements. You will also assist with litigation matters, coordinate with external counsel, and serve as backup support to the Group General Counsel.

Requirements
  • Minimum Bachelor\'s in Law (LL.B) or an equivalent qualification.
  • Qualified Person in Singapore or a Commonwealth jurisdiction.
  • At least 3 years of corporate/commercial law experience in professional firms and/or in-house role.
  • Familiarity with listed-company compliance and reporting, regulatory liaison (ACRA, MAS, foreign bodies), M&A or corporate integration project management, compliance frameworks (PDPA, anti-bribery/anti-corruption, sanctions)
  • Strong drafting, reviewing, and negotiation skills in contracts and corporate documentation.
  • Proficient in Microsoft Word and PowerPoint; experience in cloud-based document/board management systems preferred.
