The Global Deal Team in Asia within the Corporate, External and Legal Affairs (CELA) department has an opening for a Senior Corporate Counsel to support business teams pursuing and closing strategic and complex commercial transactions across the Asia region. You will advise a wide range of internal stakeholders, customers, partners and outside counsels to enable strategic transactions with Microsoft’s important customers who are transforming in this GenAI era. You will help evolve how we deliver scalable legal services to accelerate business outcomes for Microsoft and its customers.

This position could be based in Hong Kong or Singapore and may require some regional travel.

• You will lead legal support for complex technology transactions by developing negotiation strategies, solving problems creatively, and coordinating across CELA and business team subject matter experts.
• You will offer strategic advice on emerging information technology business models, including AI, while staying updated on applicable rules, regulations, and statutory requirements relating to Microsoft business.
• You will draft, negotiate, and structure integrated agreements encompassing sales, procurement, strategic partnerships, joint ventures, investments, and other innovative business models, addressing issues such as commercial contracts, intellectual property, and data protection.
• You will utilize outside counsel effectively and guide escalations to appropriate senior leaders to take prudent risks to meet customer needs.
• You will communicate clearly to advance negotiations and projects toward closure, providing practical and strategic advice to business clients and CELA colleagues.
• You will collaborate with executive leadership to present a coordinated voice on high-visibility issues, simplifying complex matters into actionable strategies and recommendations.

• Juris Doctorate Degree or international equivalent degree.
• Active license to practice law in a jurisdiction and capable of meeting admission requirements in the relevant jurisdiction.

• 10+ years of experience as a practicing attorney in law firm or in-house roles specializing in complex transactions, including technology transactions, M&A, business development, or related work managing complex transactions involving multiple stakeholders.
• Exceptional leadership and orchestration skills, with a history of managing large-scale, nuanced transactions across multiple strategic, operational, and legal dimensions and meeting deadlines amid competing priorities.
• Comfort with ambiguity and bias for action in a fast-paced, matrixed environment with strong legal analysis, pragmatic judgment, and alignment with business goals and risk tolerance.
• Enthusiastic team player who collaborates with cross-functional teams to solve complex issues and build consensus across diverse views.
• Curiosity and growth mindset; enjoys learning new concepts and tackling cutting-edge legal issues.
• Business-level proficiency in Chinese, Korean and English, including written and verbal fluency.
