Position : Legal Counsel Location : Indore Madhya Pradesh Education : Full-time Reports To : Chief Executive Officer (CEO) / Board of Directors

Role Key Resonsiblities:
  • Contract Management & Negotiation

    • Draft, review, and negotiate a broad range of commercial agreements, including client service contracts, NDAs, MSAs, SOWs, and vendor agreements.

    • Ensure contracts are aligned with business objectives while minimizing legal and financial risks.

    • Provide legal input on pricing structures, liability, indemnity, IP ownership, and confidentiality clauses.

  • Legal Advisory & Risk Management

    • Serve as a trusted advisor to leadership on legal risks, regulatory changes, and contractual issues.

    • Identify and mitigate legal and compliance risks across the organization.

    • Monitor and advise on changes in laws and regulations relevant to consulting services (e.g., employment law, data protection, international trade).

  • Regulatory Compliance & Ethics

    • Ensure firm compliance with applicable laws and industry standards (GDPR, FCPA, local labor laws, etc.).

    • Support internal policies around ethics, anti-corruption, and conflict of interest.

    • Assist with training staff on legal and compliance topics.

  • Corporate Governance

    • Support corporate legal matters such as entity formation, board resolutions, and corporate filings.

    • Collaborate with finance and HR teams on equity, employment, and governance issues.

  • Intellectual Property & Data Privacy

    • Advise on IP rights related to deliverables, proprietary methodologies, and client engagements.

    • Review data processing agreements and ensure compliance with data protection regulations.

    • Support the development of IP protection and usage policies.

  • Dispute Resolution

    • Manage pre-litigation disputes, support internal investigations, and coordinate with external counsel as needed.

    • Handle legal correspondence and represent the firm’s interests in negotiations or legal proceedings.
