Role Overview

The Head of Legal will act as the company's first in-house legal counsel, responsible for handling all legal matters across corporate, commercial, and regulatory domains. This role reports directly to the Founders and will provide pragmatic legal advice to support business growth while ensuring the company operates in compliance with applicable laws and regulations.

This position is both strategic and hands-on—covering corporate governance, contract management, regulatory advisory, and legal risk management. The Head of Legal will serve as a trusted advisor to the leadership team and work closely with external counsel, regulators, and business teams across multiple jurisdictions.

Key Responsibilities

· Serve as the primary legal advisor to the Founders and senior leadership on all corporate and regulatory matters.

·Manage and oversee all company legal affairs, including commercial contracts, partnerships, financing, and corporate governance.

·Draft, review, and negotiate a wide range of contracts (customer, vendor, institutional partners, M&A, financing agreements).

·Monitor regulatory developments in payments, financial services, and digital assets, and advise the company on legal and compliance implications.

·Support regulatory engagement, licensing submissions, and compliance framework implementation, working closely with the compliance function.

·Liaise with external counsel and regulatory bodies across jurisdictions as needed.

·Establish internal legal processes, templates, and best practices to support efficient business operations.

·Assess and mitigate legal risks related to new products, market entry, and corporate transactions.

· Ensure compliance with corporate laws in Singapore, Hong Kong, and APAC markets, with a strong focus on cross-border payments and virtual asset regulations.

Requirements

· Bachelor's degree in Law (LLB); admission to practice law in Singapore, Hong Kong, or other common law jurisdictions preferred.

·Minimum 5 years' legal experience in the payments, financial services, or fintech industry.

·Strong understanding of cross-border payments, financial regulations, and virtual asset frameworks .

·Familiarity with Singapore, Hong Kong, and broader APAC contract laws is strongly preferred.

·Proven ability to independently liaise with regulators and external counsel , with experience handling regulatory submissions and compliance-related matters.

·Solid track record in drafting, reviewing, and negotiating complex contracts and corporate agreements.

· Strong analytical and problem-solving skills with the ability to balance legal risk and business objectives.

· Excellent communication and interpersonal skills; ability to collaborate effectively across functions and cultures.

·Adaptable and resourceful, with the ability to thrive in a fast-paced startup or fintech environment.

Preferred Qualifications

·Prior experience as an in-house counsel or first legal hire in a fintech or payments company .

·Exposure to multi-jurisdictional licensing frameworks in APAC, EMEA, or other key markets.

·Knowledge of M&A transactions and regulatory approval processes in financial services.

·Fluency in English, proficiency in Mandarin or other Asian languages is an advantage.
