Our client is an innovative and high growth name within the data center/ real estate industry. They are a fast-paced organisation, with ambitious growth targets and a view to going public They are looking to appoint a General Counsel in an interesting and newly created in-house role.

You should have more than 18 years of vast experience in
- US securities/capital markets (familiarity with SEC rules, NASDAQ/NYSE listing rules) - MANDATORY TO HAVE.
- M&A
- Compliance (AML, KYC, FCPA)

The role:

- Assume responsibility for ensuring company compliance with applicable securities laws and regulations and advice on reporting and compliance requirements under US securities laws and/or regulations (including SEC rules and/or regulations, NASDAQ/NYSE listing rules and/or SOX requirements).
- Working with key management, advising on contractual requirements for sales and purchasing.
- Strong involvement in M&A, JV, restructurings and divestment transactions, including associated financing and security, is expected. This includes conducting due diligence, drafting and reviewing agreements, structuring and negotiating transactions.
- Assist in corporate secretarial matters of the company
