Our role is to provide strategic legal guidance and help navigate evolving legal risks, tailored to the unique needs and maturity of each project.

**About the Role**:
We are seeking a highly motivated and commercially savvy legal counsel with 4 to 7 years of post-qualification experience (PQE) to join our fast-growing Web3 venture. This is a rare opportunity to work at the cutting edge of blockchain, digital assets, DeFi, tokenization, and emerging technology, supporting a diverse range of legal and regulatory matters across multiple jurisdictions, with a primary base in Singapore.

**Key Responsibilities**:
**Regulatory & Compliance**
- Advise on Singapore and cross-border regulatory issues relating to blockchain, digital tokens, stablecoins, and VASP licensing (e.g., MAS, SFA, FSMA, PSA, MiCA, SEC frameworks).Monitor and assess the impact of evolving global Web3 regulatory developments and ensure ongoing compliance.

**Commercial & Token Agreements**
- Draft, review, and negotiate commercial contracts, including SAFEs, SAFTs, token warrants, validator/node operator agreements, software and IP licenses, service agreements, and partnership terms.Support product and ecosystem teams on key legal issues relating to tokenomics structuring, token launches, and vesting schedules.

**Corporate & Governance**
- Advise on legal aspects of corporate structuring for Web3 projects, DAOs, foundations, and offshore SPVs.Support internal governance, board approvals, internal company agreements, and intercompany agreements.

**Risk Management & Disputes**
- Advise on risk mitigation strategies related to technology, cybersecurity, IP, data protection, and smart contract deployments.Manage legal risks and external counsel in litigation, arbitration, or regulatory investigations, where necessary.

**Cross-Functional Legal Support**
- Collaborate with business, product, compliance, and engineering teams to ensure legal input is integrated into project and product life cycles.Assist with internal legal education and documentation frameworks, including template development and legal operations.

**Requirements**:

- 4 to 7 years PQE, qualified in Singapore or a common law jurisdiction.
- Experience at a top-tier law firm or in-house legal department, ideally with exposure to fintech, crypto, or emerging technology sectors.
- Strongunderstanding of Web3 legal issues, including token classifications, securities law risks, decentralization, and DAOs.
- Familiaritywith Singapore’s Payment Services Act (PSA), Securities and Futures Act (SFA), Financial Services and Markets Act (FSMA), and MAS guidance on DPTs and digital token offerings.
- Demonstratedability to manage cross-border legal issues and work with international stakeholders.Proactive, commercially oriented, and able to thrive in a fast-paced, evolving regulatory landscape.
