**Purpose & Scope**
- The Head of Legal (REXC) is a leadership role responsible for managing all legal matters within the business unit across existing and new locations. Reporting to the General Counsel, Renewables East, this role will focus on legal risk management, regulatory compliance, transaction support, and providing strategic legal guidance to enable business growth. The role requires expertise in project development, M&A, joint ventures, and corporate governance, particularly in the renewable energy sector.

**Key Roles and Responsibilities**
- Legal & Compliance Leadership
- Provide legal advice and guidance on all matters related to project development, M&A, joint ventures, and commercial transactions.
- Ensure compliance with regulatory requirements across multiple jurisdictions in Asia, including new markets.
- Identify and mitigate legal risks related to greenfield and M&A transactions.
- Oversee contract negotiations, including power purchase agreements (PPAs), EPC contracts, O&M agreements, and financing arrangements.
- Support internal stakeholders in managing external legal counsel effectively.
- Transaction & Project Support
- Lead the legal aspects of M&A transactions, including due diligence, structuring, and negotiations.
- Provide legal support for greenfield project development, from land acquisition to permitting and financing.
- Support corporate and project financing activities, ensuring compliance with lender requirements and investment structures.
- Advise on corporate governance matters for joint ventures and subsidiaries.
- M&A Integration
- Support post-M&A integration, ensuring smooth transition and alignment with company policies.
- Collaborate with business, finance, and HR teams to integrate acquired entities and operations seamlessly.
- Ensure compliance with regulatory, contractual, and governance requirements post-acquisition.
- Support the resolution of any legal disputes or legacy issues from acquired entities.
- Stakeholder Management & Business Partnering
- Work closely with business leaders, finance, and operations teams to align legal strategy with business objectives.
- Collaborate with the General Counsel, Renewables East, and Group Legal team to ensure alignment on legal policies and risk management.
- Manage relationships with external legal advisors and regulatory authorities in different jurisdictions.
- Team & Capability Development
- Provide leadership and mentorship to in-house legal professionals within the Line of Business
- Develop best practices, processes, and policies to enhance legal and compliance frameworks.
- Provide training and guidance to internal teams on legal and regulatory matters.

**Qualifications, Skills & Experience**
- Law degree from a recognized university and admission to a relevant bar association.
- Minimum 12-15 years of experience in corporate law, with a focus on project development, M&A, and regulatory compliance.
- Strong experience in the renewable energy, infrastructure, or power sector is preferred.
- Proven track record in handling complex cross-border transactions and negotiations.
- Familiarity with legal frameworks across multiple jurisdictions in Asia.
- Strong business acumen and ability to work in a fast-growing, entrepreneurial environment.
- Excellent stakeholder management, communication, and leadership skills.
