We are seeking a highly skilled and experienced **Senior Legal Counsel/ Director**to join our team of high-performing professionals in ensuring that all capital market and venture capital activities, including formation of Funds, are conducted in compliance with legal and regulatory requirements, while also supporting the strategic goals of the organization.

**Key Responsibilities**:

- Provide expert legal advice on a wide range of corporate finance and banking matters
- Draft, review, and negotiate a variety of contracts and agreements, including but not limited to investment agreements, partnership agreements, and financial instruments
- Manage and mitigate legal risks by designing and implementing company policies and procedures
- Represent the company in legal proceedings and liaise with external counsel as necessary
- Stay abreast of changes in laws and regulations affecting the fintech industry and advise senior management on relevant legal issues
- Develop, implement, and maintain robust compliance programs to ensure the company operates within regulatory frameworks
- Monitor and ensure compliance with applicable laws, regulations, and industry standards, including AML/KYC requirements, data protection laws, and financial regulations
- Conduct regular compliance audits and risk assessments, identifying areas for improvement and ensuring timely implementation of corrective actions
- Train and educate employees on compliance policies and procedures

**Requirements**:

- LL.B or J.D. from a recognized institution; additional qualifications in finance or business law is a plus
- min. 4-17 years of Legal Advisory experience in Capital Market and/or Private Equity Venture Capital (CIS) **,**preferably within a fintech or financial services environment
- **Legal talents from leading law firms covering North Asia would be a plus**:

- In-depth knowledge of legal and regulatory requirements related to corporate finance, banking, and fintech operations.
- Strong analytical, problem-solving, and decision-making skill
- Excellent communication and negotiation skill
- Proven ability to manage multiple tasks and projects simultaneously, with a keen attention to detail
- Demonstrated ability to work effectively in a fast-paced, dynamic environment
- High level of integrity, professionalism, and ethical standards
- Focus on Private Equity Venture Capital exposure with Collective Investment Scheme experience. Ideally formation of Funds
- Ideally able to amend / translate Chinese agreement
