**Role Overview**:
As a Big-4 assurance and corporate finance partner recommending this hire, this Pre-IPO Finance Lead role is designed to bridge ScaleUp's internal teams and external accounting/audit firms during our complex JV carve-out and consolidation. You'll ensure smooth information flow, compliance, and timely execution across Malaysia, Singapore, and Hong Kong, handling financial separation of SBUs (FSP: Western Union + Travelex hybrid; SaaS: alpha-sourcing SaaS; AaaS: alpha-as-a-service for EM gold/FX arbitrage). The position focuses on coordination for Malaysian carve-out accounting/audits, Singapore consolidation, and HK IPO audits, emphasizing inter-entity agreements like MSB1 (SaaS subscription) and MSB2 (AI IP licensing and trading gains/loss transfers). Ideal for mid-level finance professionals (5-10 years experience) seeking a targeted interim role in pre-IPO restructuring.

**Key Responsibilities**:

- **Document Preparation and Provision for Carve-Out and Audits**: Compile and organize financial documents for Malaysian accounting firms (carve-out execution) and auditors (carve-out statements), including historical financials for SBUs, JV agreements under MSB, asset/liability inventories (e.g., AI IP), transaction records for MSB1/MSB2, and operational data on revenue models like FX alpha. Extend support to Singapore consolidators for ScaleSG Holdco and HK auditors for ScaleUp Caymans, ensuring seamless data provision and standalone entity assessments.
- **Coordination and Query Resolution Across Jurisdictions**: Act as the primary liaison for all external firms, addressing requests on inter-entity flows (e.g., MSB2 gain/loss allocations), redirecting queries to ScaleUp teams (e.g., tech for IP details), scheduling cross-border meetings, managing timelines, and resolving discrepancies (e.g., currency issues in arbitrage operations) to align with SSM, ACRA, and HKEX standards.
- **Support for Carve-Out Specific Tasks and MSB Restructuring**: Map and separate financial structures, allocate shared costs, model revenue streams (e.g., transitioning MSB1's AUM sharing to independent SaaS), and document MSB2 IP terms to minimize disruptions. Assist in post-carve-out consolidation into ScaleSG Holdco, verifying financial viability and identifying synergies/risks.
- **Audit and Compliance Facilitation**: Support audit processes by verifying data accuracy (e.g., AaaS trading gains), reviewing drafts, and coordinating with company secretaries on resolutions and filings. Recommend internal controls for risks like FX exposures, handle logistics (e.g., data rooms), and ensure compliance with jurisdictional requirements, including extensions if needed.
- **Risk Management and Pre-IPO Readiness**: Track potential issues like residual JV costs or revenue impacts, support transition agreements (e.g., temporary IP access), and prepare documentation for HKEX review on group structure and financial integrity.

**Requirements**:

- Bachelor's degree in Finance, Accounting, or related field; professional certifications (e.g., CPA, ACCA) preferred.
- 5-10 years of experience in finance, audit support, M&A, or restructuring, ideally in fintech or cross-border environments.
- Strong knowledge of JV carve-outs, IP licensing, financial modeling, and regulatory compliance (SSM, ACRA, HKEX).
- Excellent organizational, communication, and problem-solving skills; ability to manage multiple stakeholders and timelines.
- Proficiency in financial tools (e.g., Excel, ERP systems) and familiarity with pre-IPO processes.
- Based in Singapore with flexibility for Malaysia/HK travel or remote coordination.
