Singapore AP EXECUTIVE PTE. LTD. Full time

Our client, a biotech venture fund, is seeking an **in-house lawyer **.

**Responsibilities**:
1. Governance Support:

- Assist in overseeing the fund investment process, ensuring adherence to governance protocols.
- Maintain a comprehensive log of actions and decisions derived from investment committee meetings.

2. Compliance and Due Diligence:

- Execute KYC processes, including the generation and submission of investor/investment KYC requests.
- Conduct thorough due diligence on potential investments to ensure compliance with regulatory requirements.

3. Document Drafting:

- Prepare and draft a variety of legal documents, including but not limited to board level documents, licensing agreements, IP agreements, patent agreements, fund documents, and partner agreements.

4. Fund Formation and Transactions:

- Assist in fund formation mandates, including the creation and management of fund structures and legal frameworks.
- Support secondary transactions mandates as required.

5. Legal Research and Analysis:

- Conduct legal research and analysis to ensure compliance with relevant laws, regulations, and industry standards.
- Stay updated on legal developments in the biotech and venture capital sectors.

6. Risk Management:

- Collaborate with internal stakeholders to identify and assess legal risks associated with business operations and investments.
- Develop and implement effective risk mitigation strategies in consultation with relevant teams.

7. Regulatory Compliance:

- Provide internal legal advice and guidance on regulatory matters affecting the fund and its investments.
- Ensure compliance with all applicable laws, regulations, and industry standards.

**Qualifications**:

- Bachelor's degree in Law; Bachelor of Laws (LLB) preferred.
- 1-3 years of experience in a legal role, preferably within the biotech, venture capital, or related industries.
- Strong understanding of corporate governance, investment processes, and regulatory compliance.
- Excellent drafting and communication skills.
- Ability to conduct comprehensive legal research and analysis.
- Detail-oriented with strong organizational and time management skills.
- Collaborative mindset with the ability to work effectively in cross-functional teams.
- Commitment to continuous learning and professional development.
