Legal Counsel

Shell Energy Asia (“SEA”) is a collection of businesses in, amongst others, India, Japan, Singapore, China, Philippines, Malaysia and other Asian countries and serves as Shell Energy’s market interface for all trading and marketing activities in Asia, allowing Shell to effectively penetrate domestic markets to create further trading value as well as providing a source of demand for Shell’s portfolio of products.

Shell Energy Asia’s requirement for legal support is of an integrated nature across the suite of commodities traded by Shell Energy. This legal support entails professional, timely, cost effective and commercial legal advice and support to Shell Energy Asia’s Trading entities, primarily focusing on:
(i) Shell Energy India - Gas & Power trading as well as Downstream LNG by trucks; and

(ii) Shell Energy Singapore - Gas & Power trading.

Hence, in this role, you will undertake new business development work (eg. product market entry reviews. Exchange participations) and also support day to day trading activities (eg. Force majeures, contract negotiations and breaches) in both emerging and established businesses. Moreover, you will support various domestic trading businesses in various jurisdictions with varying regulatory environments. You will need to work closely with local counsel (whether from Shell or external) to deliver sound and pragmatic legal advice which furthers the business’ ambitions whilst ensuring that Shell Energy trades in a manner consistent with local & international law as well as Shell General Business Principles.

**What’s the role?**

As Legal Counsel, you will provide legal advice and participate in commercial negotiations in relation to the sale and purchase of Gas & Power (spot, medium and long term) which will include advising on existing and potential sale and purchase arrangements (MSAs, PPAs, GSAs, TUAs), as well as transportation issues, credit support and guarantee instruments, and potentially contentious operational matters such as Force Majeure and breaches of contract.

Further accountabilities are as follows:

- Providing legal advice and working closely with Shell M&A colleagues on potential M&A transactions in the R&ES space which have synergy to Shell Energy Asia’s core businesses.
- Working with colleagues supporting LNG Trading and Environmental Products Trading Business to provide bundled (LNG to Power/ carbon-compensated) offerings to customers.
- Contributing to legal know-how, improvement of contracting processes and documentation, working with the business on development of new structures and products to meet market developments and developing templates to increase speed and simplicity.
- Where available, advising and interfacing with the Contracts Unit, including on master sale and purchase agreements, preparation and updating of standard contracts, knowledge sharing and training, and with other Shell Trading functions, mainly Finance, Credit, Operations, HR and Tax.
- Providing training and day to day advice on Compliance/Code of Conduct issues (anti-trust, ABC, G&H) and support the liaising with E&C and Trading Regulatory specialists and the Compliance organization in relation to compliance issues.
- Assisting and supporting the Shell Litigation Group in relation to the background and business dimensions of contentious proceedings (if any).
- Supporting other aspects of Shell Energy Asia legal work as may be required.
- Supporting other aspects of Trading and Supply legal work as may be required, depending on business needs or desired development.
- Manage legal resources effectively with a view to achieve efficiency and cost effectiveness, including the involvement of other Legal colleagues, where appropriate.

**What we need from you**
- A knowledge of and interest in the legal and regulatory issues relevant to domestic trading generally and to Gas & Power in particular. Experience in Gas and/or Power trading markets will be an advantage.
- Knowledge and experience to identify critical Legal, Ethics &Compliance and regulatory risks.
- Understanding of the Shell Group structure and the Shell Control Framework.
- Sound knowledge of contract law and sale of goods principles.
- Ability to draft with appropriate understanding and interpretation of the commercial intentions and to contribute to achieving business results.
- Strong experience of international common law and/or civil law contracts.
- Influencing, negotiating and facilitation skills. Capacity for collaborative teamwork and able to act as a network performer to coordinate with multiple contributors.
- Ability to work as part of a team and with both internal and external stakeholders with diverse cultural backgrounds in negotiating and executing transactions.
