**Waystone **has a fantastic opportunity for a Manager in Corporate Secretarial Services to join our growing team in Singapore. This is a dynamic role where you will be responsible for the delivery of services to a diverse portfolio of external clients, management of a team of individuals to deliver on KPIs for the Funds business and the development of the Funds Co Sec framework across the business. **You will also provide Company Secretarial support and services to our clients.**

**What you will be doing**:

- Ensure client files and corporate records are maintained and updated appropriately.
- Lead projects, as they arise, delegating appropriately.
- Liaise professionally and effectively with management, entity boards and senior staff.
- Advise clients on corporate secretarial matters and compliance of statutory requirements of the Companies Act, Cap. 50 and relevant government legislative.
- Liaising with clients (both local and foreign) in the coordination of instructions and documentation, ad-hoc queries.
- Incorporation of companies, fund structures with the given workflow.
- Manage client onboarding and continue to monitor the compliances including AML/CFT.
- Prepare board papers, board meeting documentation, attend and minute meetings. Attend “live” AGM/EGM (if required).
- Ensure all corporate secretarial records are updated in accordance with the statutory register.
- Preparation and filing of adhoc transactions in relation to client matters with ACRA & IRAS (E-stamping).
- Assist in the compilation and preparation of management information as and when required.
- Display an in-depth understanding of fund corporate governance practices and regulatory filing requirements and keep abreast of all regulatory changes.
- Independently liaise in a timely and professional manner with fund service providers and clients;
- Organize board and committee meetings;
- Maintain and update corporate records (to include the use of Diligent Entities/ blueprint one-world);
- Prepare, finalize, and management of resolutions and other corporate documentation;
- Review and oversee the preparation of documents, minutes and resolutions by junior team members in order ensure appropriate standards are maintained;
- Ensure appropriate prioritization of workload, identification of and escalation of scheduling conflicts and delays.
- Monitor and update task tracking schedule to ensure all assigned duties are completed within assigned deadlines.
- Identify opportunities for cross-selling products.
- Display keen attention to detail and excellent communication skills.
- Actively question methods and processes with the key to making the team more effective and efficient.
- Be able/willing to take on additional duties as and when required.
- Follow current Waystone policies and procedures as set out in the Employee Handbook and/or develop additional policies as needed for jurisdiction specific.

**Your Profile**:

- You (preferably) hold a degree in Chartered Secretary, Business or Law or equivalent experience with a focus on Company Secretarial services.
- You have min. 5 years’ experience in the area in Company Secretarial roles with people management experience.
- You have a strong knowledge Singapore corporate and fund regulations.
- You are highly organized, proactive, accurate and have a sense of responsibility and priority management.
- You are able to work independently in an environment under pressure and with tight deadlines.
- You are fluent in English (written and spoken).
- You are proficient in MS Office (Word, Excel, Outlook and Teams).
