M&A Manager

Key Responsibilities:

Deal Origination & Strategy:
  • Identify and evaluate potential M&A opportunities aligned with corporate growth objectives.
  • Conduct industry research, competitive analysis, and market trend assessments to support investment decisions.
  • Collaborate with senior leadership to develop M&A strategies and target selection criteria.
Financial Analysis & Valuation:
  • Perform detailed financial modeling, valuation (DCF, LBO, precedent transactions, and comparable company analysis), and return-on-investment (ROI) assessments.
  • Conduct scenario analysis and sensitivity testing to evaluate deal feasibility.
  • Assess the financial impact of potential transactions on company performance.
Due Diligence & Deal Execution:
  • Lead financial, legal, and operational due diligence efforts in collaboration with cross-functional teams.
  • Manage negotiations, structuring, and documentation of transactions, including SPA, SHA, and other agreements.
  • Work closely with legal, tax, and compliance teams to ensure regulatory and contractual adherence.
Stakeholder Management & Integration Planning:
  • Present investment recommendations and deal structures to senior executives and board members.
  • Coordinate with internal and external advisors, including investment banks, legal firms, and consultants.
  • Support post-merger integration planning and execution to maximize synergies and value creation.
Risk Management & Compliance:
  • Assess potential risks related to acquisitions, including financial, operational, and regulatory risks.
  • Ensure all transactions comply with corporate governance standards and regulatory requirements.
  • Maintain deal documentation and reporting for audit and compliance purposes.
Requirements:
  • Bachelor's or Master's degree in Finance, Economics, Business, or a related field.
  • At least 8 years of experience in M&A, investment banking, private equity, or corporate development.
  • Strong financial modeling, valuation, and deal structuring expertise.
  • Proven experience in managing end-to-end M&A transactions, including due diligence and negotiation.
  • Excellent analytical, problem-solving, and presentation skills.
  • Strong stakeholder management skills, with the ability to influence senior leadership.
  • Knowledge of legal, tax, and regulatory aspects of M&A transactions.
  • Proficiency in financial analysis tools (Excel, Bloomberg, Capital IQ, etc.).
  • CFA, CPA, or relevant certification is a plus.
