As an M&A Specialist at Toll, you will be instrumental in shaping the company's future through your involvement in planning and executing mergers, acquisitions, and other strategic transactions. Collaborating closely with a team of seasoned professionals, you will gain exposure to the diverse range of vertical industries in which Toll operates, as well as a profound understanding of in-house corporate development and post-merger integration processes.

This 6-months contract position paves the way to a permanent role at Toll and presents a unique opportunity to significantly influence the company's growth and success.

Deal Execution:

  • Collaborate across various functions to assist in deal execution and post-merger integration.
  • Serve as a project manager, coordinating tasks and timelines to ensure smooth transactions.
  • Manage and track deal progress, ensuring that timelines and milestones are met.
  • Facilitate communication and alignment between different teams involved in the M&A process.

Integration Planning:

  • Assist in post-merger integration planning and execution.
  • Work with various departments to ensure a smooth transition and maximize the value of acquired assets.
  • Drive synergy realization and operational improvements.

Due Diligence and Risk Assessment:

  • Lead due diligence efforts by coordinating cross-functional teams, including legal, financial, and operational experts.
  • Analyze and evaluate potential risks and opportunities associated with target companies.
  • Prepare comprehensive due diligence reports and present findings to senior management.

Preparation of Investment Case and Board Papers:

  • Prepare investment cases, business plans, and investment memoranda for presentation to senior management and the board.
  • Create persuasive and data-driven presentations to support investment decisions.
  • Ensure that all documentation meets the company's standards and regulatory requirements.

Pipeline Development and Target Analysis:

  • Conduct thorough research to identify potential M&A targets and market trends.
  • Analyze industry dynamics and competitive landscapes.
  • Provide insightful recommendations for potential acquisitions.

Financial Modeling and Valuation:

  • Create and maintain detailed financial models for prospective acquisitions.
  • Apply various valuation methods, such as Discounted Cash Flow (DCF), Comparable Company - -Analysis (CCA), and precedent transactions analysis.
  • Assess financial statements, historical performance, and pro forma projections.

Key Qualifications for Success

  • Strong background in finance, business strategy, and mergers & acquisitions
  • Bachelor's degree in finance, business, economics, or a related field is essential. MBA or CFA certification is an added advantage.
  • Proven experience in M&A and corporate strategy
  • Strong financial modeling, valuation, and due diligence expertise.
  • Ability to identify acquisition targets, assess market trends, and develop M&A strategies.
  • Excellent negotiation, presentation, and stakeholder management skills.
  • Experience in leading cross-functional teams and managing complex transactions.
  • Understanding of M&A laws, compliance, and corporate governance.
