Vice President, Capital Structuring

**Vice President within Capital Structuring & Advisory Asia**

ING Wholesale Banking (WB) is looking to hire a VP for its Capital Structuring & Advisory (“**CS&A**”) team in Singapore. In this job you will play an active advisory role in the origination, structuring and execution of event driven, transformational, complex and multi-product financing solutions as part of ING’s Strategic Products Group which comprises of M&A and Capital Markets. In addition, the team also provides capital structure and strategic advisory on fundraising options to ING's highest tier of Asian clients across all sectors, working alongside with relationship managers and the various product teams to structure, originate, execute, and implement an optimal capital structure.

CS&A captures event driven, complex, multi-product financing opportunities, often transformational in nature as well as M&A and strategic advisory. Transformational situations including multi-product merger and acquisitions, major refinancing, balance sheet restructurings, take-over defence situations, pre-IPO and post-IPO financings and strategic capital investments. These types of dynamic situations often require a swift response and a strong sense for the inherent sensitivities of all stakeholders.
**Job description**:

- Drive origination initiatives through jointly working with colleagues within Sector and Product teams on the origination and execution of a wide range of advisory, financing and hedging solutions
- Coordinating the preparation of pitchbooks regarding, strategic advisory across integrated debt (bonds, loans), M&A, equity, credit ratings and hedging solutions
- Contributing to external documents such as term sheets, offering / info memos, and prospectuses as well as the preparation and coordination of internal approval documents and credit memos
- Collaborate and form deal teams with others WB departments/disciplines, such as Sector Teams, Corporate Finance (M&A), Syndications, DCM and Financial Markets for origination or execution
- Maintain regular dialogue with Risk Management
- Maintain client contact in both the marketing and execution phases of transactions
- Driving the building of complex financial models and quality stamping/ assuming responsibility for different output generated by junior staff (i.e. presentations, credit proposals)
- Coaching, training and development of junior team members

Part of Singapore based team (4 professionals) that is an integral part of the broader CS&A Asia Pacific team, that includes Hong Kong (2 professionals). CS&A further consists of a global platform of c. 45 professionals in Amsterdam, Brussels, Singapore, Paris, Germany, New York, Singapore, Hong Kong and Madrid. Involved in high profile deals with significant internal and public (press) exposure. Current CS&A platform is strong, providing an excellent platform for further growth and innovation. CS&A acts product neutral as the ‘spider in the web’ coordinator in multi-product transactions, in close cooperation with the relationship manager, sector and various product specialists.

**Your profile**

Knowledge and experience:

- 7-10 years of experience in Corporate Financing, Structured/ Leverage Finance, Sector Coverage, Strategic Advisory, Capital Markets or Investment Banking
- You have a profound understanding and in-depth knowledge of one (or preferably) more of the following products, i.e. (Structured) Lending, Debt and Equity Capital Markets, Financial Markets, M&A
- Experience in deriving S&P, Moody’s, Fitch and/ or other rating outcomes for corporate debt transactions is a plus
- You understand what is needed in the role: you have a proven track record in structuring, negotiating and execution of transformational and/or complex (international) transactions and/or optimizing balance sheet and finance structures as well as providing strategic advice to clients
- Strong business development skills with broad market knowledge, client network and presence
- Education: university degree preferably in banking & finance, accounting economics or equivalent
