Job Title: Vice President of Mergers and Acquisitions (M&A) - Special Purpose Acquisition Company (SPAC)

Location: Singapore (Based in SG, with a focus on SPAC opportunities in the US or Asia)

Job Summary: As the Vice President of Mergers and Acquisitions for a Special Purpose Acquisition Company (SPAC) based in Singapore, your primary responsibility will be to lead the identification, evaluation, and execution of potential merger and acquisition opportunities, with a particular focus on the US or Asia markets. You will play a crucial role in driving the strategic growth and expansion of the SPAC, working closely with the executive team to execute successful transactions.

Key Responsibilities:

- Deal Sourcing and Evaluation:Identify and source potential target companies for mergers or acquisitions, with a specific focus on the US or Asia markets.
Conduct comprehensive due diligence on potential targets, including financial analysis, market research, and risk assessment.
Evaluate strategic fit, synergy potential, and financial viability of target companies.
- Transaction Execution:Lead the end-to-end transaction process, including deal structuring, negotiations, and contract drafting.
Collaborate with internal teams and external advisors (legal, financial, etc.) to ensure smooth execution of transactions.
Manage project timelines, milestones, and deliverables to ensure timely completion of deals.
- Financial Analysis and Modeling:Develop financial models and perform complex financial analyses to assess the valuation and potential returns of investment opportunities.
Conduct scenario analysis, sensitivity testing, and other financial assessments to support decision-making.
Prepare investment memos, presentations, and reports for senior management and the board of directors.
- Relationship Management:Cultivate and maintain relationships with investment banks, private equity firms, and other relevant parties to source deal flow and stay updated on market trends.
Collaborate with target company management teams and external stakeholders to build rapport and facilitate negotiations.
Represent the SPAC at industry events, conferences, and networking opportunities to expand the company's presence.
- Post-Merger Integration:Support post-merger integration efforts, working closely with cross-functional teams to achieve operational synergies and strategic objectives.
Monitor and assess the performance of acquired companies, identifying areas for improvement and implementing necessary adjustments.

Qualifications and Requirements:

- Bachelor's degree in finance, business administration, or a related field. MBA or advanced degree is preferred.
- Significant experience (8+ years) in investment banking, private equity, corporate development, or a similar role focused on M&A.
- Strong understanding of the SPAC ecosystem, including knowledge of SPAC structures, regulatory requirements, and industry trends.
- Proven track record of successfully executing M&A transactions, including deal origination, due diligence, negotiation, and closing.
- Excellent financial modeling and analytical skills, with the ability to evaluate investment opportunities and assess their financial impact.
- Strong leadership capabilities and the ability to manage cross-functional teams and external advisors.
- Exceptional communication and presentation skills, with the ability to effectively articulate complex concepts to stakeholders at all levels.
- Proficiency in financial analysis software and tools (e.g., Excel, Bloomberg) and familiarity with transaction management systems.
- Flexibility to travel as required for meetings, due diligence, and industry events.
