**Scope of Work**

The Scope of Work (SOW) has been broken into phases based on the period of performance. The QA Vendor is expected to perform the following:
A. General Requirements - applicable during all phases
- QA Vendor will exercise the degree of skill, diligence, prudence, and foresight which would reasonably be expected to be observed by a skilled, qualified vendor providing quality assurance services of a same or similar nature to the services requested for this Project (“ Standard of Care ”).
- QA Vendor will not direct any means, methods, techniques, sequences, or procedures of any member of the Project Team with respect to any health and safety matters, work, and services performed in connection with the Project.
- QA Vendor will not be responsible for the quality of the construction or design work or the approval of any drawings prepared by the General Contractor, the Design Consultants and the Separate Contractors (together the “ Project Team ”), but QA Vendor must notify Amazon of any quality related issues which QA Vendor discovers.
- QA Vendor will not be responsible for obtaining Consents or for any other party’s delay or failure to obtain Consents. QA Vendor will use the Standard of Care to cause the Project Team to obtain Consents. The Standard of Care does not include any act or omission that would violate, or cause QA Vendor to be in violation of, any laws, Consents or Amazon’s Code of Conduct or Supply Chain Standards). “ Consents ” mean any permit, consent, approval, authorization, agreement, waiver, easement, right of way, license or similar item which must be obtained from any person (including both private persons and governmental authorities) necessary for the Project to be completed.
- QA Vendor will not be required to check, verify, or comment upon any of the Project insurances.
- QA Vendor will comply with and ensure that the Project Team complies Amazon’s policies applicable to external vendors and the Project, which Amazon may provide to QA Vendor from time to time.
- QA Vendor does not have the authority to and will not (i) authorize any members of the Project Team to incur any costs (including in respect of Contingency Spend Requests) in connection with the Project; or (ii) confirm to the Project Team that any Project milestone (e.g. NEA, H2C or Substantial Completion) has been achieved.
- If QA Vendor will be provided with a Yellow Badge for the purposes of the Services,, QA Vendor’s personnel assigned to the Project must, prior to commencing any services in connection with the Project:
- Review and become familiar with the Amazon Code of Code and Supply Chain Standards (together, the “ Code ”), Amazon’s expectations and requirements on confidentiality, and execute the Confidentiality Agreement so that QA Vendor can perform its services in strict compliance with them and monitor the Project Team for violations of them; and
- Complete background checks in accordance with Amazon’s Personnel Suitability Requirements.
- If at any time QA Vendor learns of any actual, alleged, or potential violation of the Code (including by any member of the Project Team), QA Vendor will immediately report it to the Amazon Representative identified in the Work Order.
- At all times QA Vendor will seek to represent the best interests of Amazon. If at any time QA Vendor learns of any actual or potential conflicts of interest by or between QA Vendor, Amazon, or any member of the Project Team, QA Vendor will promptly disclose such to Amazon.
- QA Vendor will not contact or interact with any governmental officials or entities. If QA Vendor is contacted by a government official or entity, QA Vendor will immediately report such interaction to Amazon. QA Vendor will not authorize any member of the Project Team to contact or interact with any governmental officials or entities, unless such specific contact or interaction is pre-approved by Amazon in writing in advance.
