OMERS Capital Markets is building out its Asia Pacific investment capability in our Singapore office. We invest in both developed and developing markets of Asia and across the entire capital structure.
We are looking for a highly motivated lawyer to join our team in Singapore. In this role, you will support the Capital Markets investment team in the pursuit and execution of investments in public and private markets as well as co-investments with third party managers.
As a member of the Capital Markets Asia Pacific team, reporting to the Director, Legal, the Associate Director, Legal will be involved in all legal aspects of the investment process, including the identification and origination of investments, due diligence, negotiation of purchase agreements, credit agreements and related governance agreements, structuring, regulatory review and approvals, and closing mechanics.
The Associate Director, Legal will liaise with and instruct external legal and other professional advisors, as well as internal teams in finance, investment operations, trading and tax. **As a member of this team, you will be responsible for**:
- Providing transactional legal support on Capital Markets investment pursuits, including liaising with external legal counsel and other professional advisors and assisting the deal team through the investment process, as well as participating in the due diligence process.
- Negotiating a wide range of investment documents, including preliminary transaction documents (LOIs, NDAs, MOUs), purchase agreements, credit agreements, and related governance agreements.
- Providing legal advice with respect to the structuring of investment transactions and compliance with applicable securities laws as well as pension, corporate and tax legislation.
- Providing legal support to investment professionals with respect to assets under management (e.g. reorganizations, fundings, financings, follow-on acquisitions and sales).
- Providing legal advice to internal business units on a variety of legal, regulatory and compliance matters, as well as on-going operational matters, such as contract reviews, advice on developing issues and litigation, and providing a legal perspective on internal reports and strategy documents.
- Liaising with OMERS legal, investment operations, trading, tax, finance, compliance and other areas within the OMERS enterprise.
**To succeed in this role, you have**:
- At least 5 to 10 years of post-qualification experience in securities, lending and/or M&A, gained in a top tier global law firm and/or financial institution.
- Trained and qualified in Singapore, Hong Kong, UK or US.
- Direct experience at, or a high degree of familiarity with, analysing and executing transactions across different legal jurisdictions in Asia (including India).
- Specific experience in private credit investing (including familiarity with credit structures for senior & mezzanine lending - interpreting covenant packages, security perfection, ring-fencing and enforcement mechanisms) will be essential.
- Established negotiation and drafting skills.
- Strong analytical skills and attention to detail.
- Strong interpersonal and communication skills to be able to lead legal workstreams and interact with a broad range of professionals.
- An intellectually curious team player with a desire to understand all aspects of a transaction.
- Able to multitask effectively and work independently; and be a self-motivated individual with a strong work ethic.
- Accepting that some travel to international locations may be required.
