**Key Roles and Responsibilities**
- Transactional Support
- Assist in the execution of M&A transactions, joint ventures, and strategic investments, with a primary focus on Malaysia and secondary support to Singapore.
- Draft, review, and negotiate a variety of legal documents including NDAs, term sheets, share purchase agreements, joint venture agreements, share subscription agreements, shareholders' agreements, joint development agreements, power purchase agreements, EPC contracts, project financing agreements, etc.
- Coordinate legal due diligence efforts, identify legal risks, and help ensure regulatory compliance in proposed transactions.
- Regulatory & Compliance
- Provide legal input on regulatory and licensing frameworks in Malaysia, including liaising with local external counsel as needed.
- Monitor updates to local energy laws, investment regulations, and foreign ownership requirements that may impact business activities.
- Stakeholder & Cross-Functional Collaboration
- Work closely with internal stakeholders (Business Development, Finance, Tax, and Project teams) to ensure alignment and risk mitigation across legal, commercial, and operational aspects.
- Liaise with external counsel and regulatory authorities to support transactions and ongoing legal matters.
- Other Legal Support
- Support general corporate legal matters in Malaysia, including entity establishment, governance, and corporate secretarial matters.
- Help develop and maintain templates, policies, and best practices for legal documentation and compliance.

**Qualifications, Skills & Experience**
- Degree in Law from a recognized university; qualified to practice in Malaysia, with 5-7 PQE Malaysia law qualified
- Having degree in law on Singapore law or English law is a bonus
- Experience in energy projects, EPC contracts, cross border transactional projects (renewable energy projects are ideal)
- Experience in company law, incorporation of Malaysia entities, basic corporate secretarial work
- Experience in engaging and managing external counsel
- Able to work independently and proactive in engaging with business / commercial leads to structure projects, draft and review project agreements (including project financing agreements)
- Able to travel for work within Peninsula Malaysia, East Malaysia (Sarawak and Sabah) and Singapore
