Job Description:
We are seeking a highly skilled and experienced professional to join our hedge fund management company as a General Counsel and Chief Compliance Officer. In this dual role, you will be responsible for providing legal guidance on all matters of law and regulation relevant to the business, overseeing compliance practices and serving as a trusted advisor to multiple boards of directors and senior management.
Responsibilities:
1. Legal Expertise: Serve as the primary legal advisor to the company and its stakeholders, offering expert counsel on a wide range of legal matters. Must have extensive experience in international funds law, international securities law, international regulatory law, derivatives, ESG, corporate governance, anti-money laundering regulations, and negotiating contractual agreements and investment transactions.
2. Compliance Expertise: Develop, implement, and maintain comprehensive compliance programs, policies, and procedures to ensure adherence to relevant laws, regulations, and industry best practices. Continuously monitor and assess the company’s and its funds’ compliance posture, identifying and addressing potential risks, and maintaining an exceptional standard for the company’s regulatory and AML compliance processes.
3. Regulatory Compliance: Stay updated on relevant laws, regulations, and industry trends impacting the hedge fund industry, ensuring timely compliance with reporting requirements and managing interactions with regulatory bodies.
4. Documentation and Contracts: Review, draft, and negotiate various legal agreements, including investment management agreements, service provider contracts, and investor documentation, while protecting the company’s and its funds’ interests and minimising legal risks.
5. Internal Governance: Collaborate with senior management, multiple boards of directors and other stakeholders to establish and maintain effective internal governance frameworks, policies, and controls. Provide guidance on matters related to conflicts of interest and other ethical considerations.
6. Due Diligence: Conduct legal and compliance due diligence on matters impacting the business, including evaluating legal risks and implications. Assist with the company’s due diligence efforts in assessing potential service providers, counterparties, and business partners.
7. Training and Education: Develop and deliver training programs to educate employees on legal and compliance matters, promoting a culture of compliance awareness and accountability throughout the organisation.
Qualifications:
- Law degree (first class honours) from an accredited top-tier law school and active qualification as a Singapore/Australia/NY/UK lawyer.
- Extensive experience (minimum 10 years) as a practicing attorney focusing on international investment management, securities law, regulatory law, derivatives and related fields.
- In-depth knowledge of relevant laws and regulations in Singapore, the US and Europe, including the Investment Advisers Act, Securities Act, Securities & Futures Act, EMIR, AIFMD and AML regulations.
- Proven track record in developing and implementing compliance programs, policies, and procedures within the financial services industry, preferably in a hedge fund or investment management setting.
- Strong analytical skills and the ability to interpret complex legal and regulatory requirements to provide practical and actionable advice.
- Excellent communication and interpersonal skills, with the ability to engage and influence stakeholders at all levels of the organisation.
- Demonstrated leadership capabilities, including the ability to manage a team, prioritize tasks, and handle multiple responsibilities in a fast-paced environment.
