You will join a lean, collaborative legal team as a Legal Counsel with a strong background in transactional and financing work. This role focuses on structuring, negotiating, and closing high-value cross-border transactions across multiple jurisdictions. Licensing and regulatory work are handled by other specialists, while this position concentrates on transactional projects and works closely with senior leadership and external counsel.

The Opportunity

We are seeking an experienced Legal Counsel with a strong background in transactional and financing work to support a portfolio of complex, cross-border deals. This role is ideal for a lawyer with law firm training who thrives on deal execution and wants to play a hands-on role in structuring, negotiating, and closing high-value transactions across multiple jurisdictions.

What You’ll Do
  • Draft, review, and negotiate a wide range of financing and investment agreements, including loan agreements, equity and shareholder agreements, collateral and security arrangements, and cross-border contracts.
  • Partner with business leaders to execute high-impact transactions across mining, equity, and corporate finance.
  • Advise on collateral management, restructurings, and distressed situations to protect the company’s interests across multiple jurisdictions.
  • Liaise with external counsel to ensure efficient, commercially sound deal execution.
  • Stay ahead of legal, regulatory, and market developments in financing, digital assets, and international investments.
What We’re Looking For
  • Law degree (LL.B./J.D. or equivalent); admission to practice in a recognized jurisdiction preferred.
  • 5+ years’ experience in transactional legal work, ideally across corporate finance, secured lending, equity, or mining-related transactions.
  • Proven track record of drafting and negotiating complex agreements across borders.
  • Familiarity with digital asset financing structures or private credit is a plus.
  • Strong communication skills, with Mandarin proficiency preferred for cross-regional collaboration.
  • A proactive, detail-oriented lawyer who thrives in a fast-paced, entrepreneurial environment and can manage multiple complex projects simultaneously.
