Description VP, Lead Counsel, Markets – Citi The Lead Counsel II is a senior level position responsible for providing legal guidance and thought leadership to the business. The overall objective of this role is to offer legal support, advice and guidance to the business, exercising sound legal judgement to develop proactive, risk‐appropriate, commercially practical solutions. Responsibilities Timely negotiation and preparation of ISDA Master Agreement, Global Master Repo Agreement, Global Master Securities Lending Agreement, CDEA and other market‐trading documentation; negotiation of ancillary trading documentation, including review of corporate documentation, security and collateral documentation. Conduct due diligence to determine whether agreements are enforceable and meet the well‐founded basis standard under applicable capital rules; coordinate and track deviation approvals, ensuring compliance with legal, regulatory requirements and Citi policies. Provide legal support, advice and guidance across a broad range of practice areas while assessing risk of business decisions, ensuring compliance with applicable laws, rules and regulations and adhering to policy. Manage data input for trading documentation and interact with other regional support teams regarding data systems, queries and amendments. Participate in global documentation regulatory and remediation projects. Assist in coordination and support of AP Markets Legal Contract Management processes and initiatives. Liaise with other control and functional businesses in support of initiatives that the AP MLCM is involved in. Provide analysis of matters to support resolution of complex and variable situations. Provide legal counsel to the business, participating in strategic initiatives, offering subject‐matter expertise and interpretations of relevant laws, rules and regulations, and advising on the impact to the business. Objectively evaluate business proposals by applying institutional knowledge and risk appetite against industry standards and regulatory guidelines, escalating as appropriate. Collaborate across internal lines of business, control/support functions and/or external counsel to achieve coordinated and efficient outcomes on matters of common interest. Participate in business planning and development initiatives, contributing to business objectives by providing thought leadership regarding industry, laws and regulations. Proactively identify, evaluate, and manage legal, regulatory, and reputational risk by collaborating with ICRM & risk, following relevant legal developments and participating in internal projects. Manage day‐to‐day legal activities as a subject‐matter expert in the area of responsibility, providing advisory services to business partners. Monitor complex legal issues and transactions, escalating when necessary. Appropriately assess risk when business decisions are made, safeguarding Citigroup, its clients and assets by driving compliance with applicable laws, rules and regulations, and reporting control issues with transparency. Qualifications 6‐10 years of relevant industry experience, preferably in financial services. Experience with banking or financial industry regulations and laws. Knowledge of international laws, regulations and practices; ability to stay abreast of regulatory and legal environment, internal policies and industry trends that impact the business. Experience with complex deals, demonstrating ability to analyze issues and develop legal solutions. Effective communication and negotiation skills, with ability to build and maintain trusted relationships. Excellent interpersonal, organizational and relationship management skills. Proven ability to apply sound judgement while managing assignments in a demanding, fast‐paced environment. Bar license in good standing to practice law.
