Job Description:
The position holder will provide expert legal advice and guidance to the organization on all aspects of Singapore law and other applicable laws, regulations, and company rules.
Key Responsibilities:
  • Providing legal advisory work: advising business departments, managing directors of affiliates, traders, in drafting legal opinions, drafting, reviewing, and negotiating commercial contracts, developing and/or updating relevant templates and standard terms & conditions for all businesses in Singapore.
  • Mergers and acquisitions: leading the legal assistance on business development activities (establishment of new joint ventures, divestments, acquisitions of shares or assets), assisting, advising, and negotiating alongside with the business, finance, and tax teams, and ensuring the drafting and reviewing of all corporate transactions, preparing legal notes, and coordinating with risk/compliance, tax, and finance teams to consolidate a comprehensive legal and compliance opinion.
  • Corporate secretarial: directly responsible or supervising incorporation of companies, corporate secretarial, business registration, renewal matters, and all formalities related to board and shareholder meetings and formalities, ensuring compliance with applicable laws on corporate secretarial matters.
  • Regulatory: drafting, reviewing, and evaluating internal policies.
Requirements:
  • Degree in law (LLB) from a university and called to the Singapore bar.
  • A minimum of 8-12 years of experience in either a law firm or as a legal counsel, preferably with experience covered from trading & distribution, property development, construction-related.
  • Expertise in mergers and acquisitions, general corporate law, knowledge of litigation.
  • Able to travel to Malaysia (Penang, Johor, KL) with the managing director for M&A jobs.

  • Working location: ANSON ROAD SPRINGLEAF TOWER, MRT nearby are Tanjong Pagar or Shenton Way
