Job Opportunity: Corporate Governance Expert

We are seeking an experienced professional to take full ownership of corporate secretarial functions for our client. This is a standalone, independent role ideal for someone with strong expertise in corporate governance and offshore entity management, capable of managing all tasks with minimal supervision.

Key Responsibilities:
  • Manage the full spectrum of corporate secretarial work independently, including incorporations, annual filings, board resolutions, and share-related transactions.
  • Handle onshore and offshore client portfolios, ensuring compliance with regulatory requirements.
  • Advise clients on corporate governance, compliance matters, and regulatory updates.
  • Maintain accurate statutory registers and prepare board minutes, resolutions, and annual returns.
  • Liaise directly with auditors, lawyers, banks, and regulatory authorities to ensure all compliance matters are addressed.
  • Monitor and maintain offshore entity documentation and ensure adherence to international compliance standards.
Required Skills and Qualifications:
  • Diploma or Degree in Corporate Governance, Business Administration, Accountancy, or Law.
  • Minimum 5 years of corporate secretarial experience, preferably in a corporate service provider environment.
  • Strong understanding of offshore company structures and compliance requirements.
  • Proficiency in Mandarin (spoken and written) to liaise with Chinese-speaking clients.
  • CSIS Practising Certificate is a strong advantage.
  • Proven ability to work independently in a standalone role without team support.
