Position Title: Nominee Director (Part-Time / Non-Executive)
Job Type: Part-time / Flexible hours
Location: Singapore (Remote / Non-executive role)
Job Description: Due to business expansion, we need to find a few Singapore citizens or PRs to fill up the nominee director role of our expanded business. We are a F&B establishment and plan for a business expansion.
This is a statutory compliance role only.
Key Responsibilities:
1. Maintain your residence in Singapore and keep us up to date on any upcoming plans on change of residency including within Singapore
2. Maintain a clean public record and not commit any act or omission that shall disqualify one from being a director under the Companies Act.
3. Act honestly and in good faith, to avoid conflict of interest, exercise care, skill and diligence and not misuse powers and information on behalf of any client.
4. Use your best efforts to comply and act in accordance with your legal obligations and duties as a nominee director at all times.
5. Be attentive to any compliance notifications from regulatory authorities, work with clients to resolve any issues and apply suitable challenge.
6. Occasionally attend a physical meeting with representatives of traditional banks (UOB, OCBC, DBS etc.) should the client need to open a bank account.
Requirements:
7. No bankruptcy or criminal records
8. Willing to undergo background checks
9. Understanding of Companies Act Cap 50, ACRA Regulations and duties of Directors.
10. Nominee Director Agreement and Indemnity Letter will be signed.
Compensation & Protection:
11. Annual service fee : SGD 500
