Roles & Responsibilities

We are seeking an experienced and strategic Senior Legal Counsel to lead and manage the legal function across the Company’s real estate and property development operations. This leadership role will be responsible for overseeing all legal matters related to property acquisitions, development, leasing, sales, financing, and general corporate governance. This role will work closely with the executive team to ensure that the company’s business objectives are met while managing legal risks and ensuring compliance with all relevant laws and regulations. This role requires a highly skilled and proactive individual with significant experience in real estate law and corporate legal affairs.

Key Responsibilities:

A) Leadership and Legal Strategy:

· Lead the legal function of the Company, overseeing all legal matters related to property development, real estate transactions, corporate governance, and regulatory compliance.

· Serve as a strategic advisor to the executive team and senior management, providing guidance on legal risks, business strategies, and opportunities.

· Develop and implement a comprehensive legal strategy that aligns with the company’s growth objectives and operational goals, ensuring that the company’s legal position is secure across its various ventures.

B) Real Estate Transactions and Property Development:

· Oversee all legal aspects of real estate transactions, including the acquisition, sale, leasing, and financing of commercial and residential properties.

· Manage the legal due diligence process for property acquisitions and developments, identifying legal risks and mitigating them through effective solutions.

· Negotiate, draft, and review purchase and sale agreements, leases, licensing agreements, financing documents, and joint venture agreements related to real estate projects.

· Advise on and coordinate the legal aspects of major property development projects, ensuring compliance with zoning, land use, environmental, and other regulatory requirements.

C) Leasing and Sales Administration:

· Supervise and provide legal oversight on the company’s leasing and sales administration functions, ensuring that all contracts and agreements are drafted, negotiated, and executed in accordance with company policies and legal requirements.

· Work closely with the leasing and sales teams to resolve any legal issues related to property transactions, including tenant disputes, lease renewals, and property management matters.

· Ensure that all leasing and sales activities comply with local laws and industry standards, providing solutions for any legal disputes or challenges.

D) Corporate Governance and Compliance:

· Oversee corporate governance matters, ensuring that the company operates in accordance with relevant laws, regulations, and internal policies.

· Ensure compliance with real estate laws, property regulations, health and safety standards, and environmental laws.

· Advise on the establishment of legal entities, joint ventures, partnerships, and other business structures that align with the company’s business goals.

· Work closely with the compliance team to monitor and manage compliance risks across the organization, especially in relation to real estate transactions and regulatory requirements.

E) Risk Management and Legal Support:

· Identify, assess, and manage legal risks across all of the Company’s operations, providing proactive advice to mitigate potential liabilities.

· Oversee the resolution of legal disputes, including coordinating with external counsel and managing litigation or arbitration proceedings when necessary.

· Develop and implement legal policies and procedures that safeguard the company’s interests and ensure consistent legal practices across all business units.

· Provide ongoing legal support to various departments, including operations, finance, HR, and marketing, ensuring they are informed of legal considerations in their day-to-day activities.

F) Team Leadership and Development:

· Lead and manage the in-house legal team, providing guidance and support to junior legal counsel and ensuring the effective functioning of the department.

· Foster a culture of collaboration, continuous learning, and professional development within the legal team.

· Ensure the legal team’s work aligns with the company’s strategic goals and business operations.

G) Stakeholder Management:

· Act as the primary point of contact for legal matters involving external stakeholders, including regulatory authorities, joint venture partners, contractors, consultants, and external legal advisors.

· Maintain strong relationships with industry stakeholders and legal professionals to stay abreast of market trends and developments that may impact the company’s legal position.

Key Requirements:

Qualifications:

· Minimum of [10] years of post-qualification experience in a legal role within the real estate or property development sector, with at least [5] years in a senior legal or management position.

· Proven track record in managing complex real estate transactions, including acquisitions, sales, leasing, joint ventures, and financing.

Experience:

· Extensive experience in real estate law, including property acquisitions, land use, zoning, environmental law, commercial leases, and real estate financing.

· Strong background in corporate governance and compliance, particularly in the context of real estate development and operations.

· Experience in leading and managing a legal team and providing strategic legal advice to senior management and the board.

· Experience in contract negotiation, dispute resolution, and handling litigation related to real estate or property development.

Skills:

· Exceptional leadership and management skills, with the ability to lead a team of legal professionals and collaborate with cross-functional teams.

· Excellent analytical and problem-solving skills, with the ability to provide practical and innovative solutions to complex legal issues.

· Strong negotiation skills, particularly in relation to high-value real estate transactions and joint ventures.

· Superior communication and interpersonal skills, with the ability to convey complex legal concepts in a clear and concise manner to non-legal stakeholders.

· Ability to work in a fast-paced and dynamic environment, managing multiple priorities and deadlines effectively.
