Job Summary:


As the Vice President of Mergers and Acquisitions for our pre-acquisition Special Purpose Acquisition Company (SPAC), you will lead the strategic identification, evaluation, and execution of potential nonbank lender targets for acquisition.

Your primary responsibility will be to drive the SPAC's M&A initiatives within the financial services sector, with a focus on nonbank lending institutions.

Leveraging your extensive M&A experience and industry knowledge, you will collaborate with the executive team to develop acquisition strategies and play a crucial role in achieving the SPAC's growth objectives.

This position requires exceptional leadership, deal-making skills, and the ability to navigate complex M&A transactions.

Responsibilities:

  • M&A Strategy: Develop and execute a comprehensive M&A strategy tailored to identify highpotential nonbank lending targets that align with the SPAC's investment criteria and longterm vision.
  • Target Identification: Lead the research and due diligence process to identify potential nonbank lender acquisition targets, evaluating their financial performance, market positioning, and growth potential.
  • Financial Analysis: Conduct rigorous financial modeling, valuation analysis, and risk assessment to determine the viability and strategic fit of potential acquisition targets.
  • Deal Execution: Oversee all aspects of the M&A process, including negotiations, deal structuring, and coordination with legal, finance, and regulatory teams to ensure successful transaction execution.
  • Due Diligence: Direct the due diligence efforts, coordinating with external advisors and internal teams to evaluate target companies' operations, compliance, and key risks.
  • Integration Planning: Collaborate with the integration team to develop postacquisition integration plans, ensuring seamless integration of acquired companies into the SPAC's portfolio.
  • Relationship Management: Build and maintain strong relationships with key executives and stakeholders of potential target companies, serving as the primary point of contact throughout the dealmaking process.
  • Market Insights: Stay informed about industry trends, competitive landscape, and regulatory developments within the nonbank lending sector, providing insights to guide strategic decisionmaking.
  • Reporting and Presentations: Prepare comprehensive reports and presentations for the SPAC's leadership team and investors, updating them on M&A progress and potential opportunities.

Requirements:

  • Bachelor's degree in Finance, Business Administration, Economics, or a related field. MBA or advanced degree preferred.
  • Extensive experience in M&A deal origination, evaluation, and execution within the financial services sector, with a specific focus on nonbank lenders.
  • Proven track record of successfully leading and closing M&A transactions, preferably within the fintech or alternative lending space.
  • Strong financial acumen, analytical skills, and expertise in financial modeling and valuation techniques.
  • Indepth knowledge of regulatory requirements and compliance considerations related to nonbank lending acquisitions.
  • Exceptional negotiation, communication, and presentation skills, with the ability to influence and engage stakeholders at all levels.
  • Leadership capabilities to manage and mentor a team of professionals, fostering a collaborative and resultsdriven work environment.
  • Entrepreneurial mindset with a focus on driving innovation and strategic growth initiatives.
