Company Overview:

We are a dynamic and innovative tech company at the forefront of F&B. As we prepare for significant growth and potential IPO, we are seeking an experienced professional to join our team as Head of Investor Relations & Fundraising. This role will be key in planning and executing our fundraising strategies, managing share dilution, and navigating the complexities of Pre-IPO and IPO financing.

Job Type: Full-time
Salary Range: $6,000 to $12,000 per month (excluding commission and equity participation)

Key Responsibilities:
  1. Strategic Fundraising & Share Dilution Planning: Develop and execute fundraising strategies across various stages, including Pre-IPO and IPO, to support company growth and expansion.
    Oversee share dilution management throughout fundraising rounds, ensuring balanced equity distribution among stakeholders.
    Collaborate with senior leadership and finance teams to forecast future capital needs, aligning fundraising efforts with company growth milestones.
  2. Pre-IPO & IPO Preparation: Lead strategic initiatives and roadmaps for preparing the company for its IPO, including financial structuring, investor relations, and compliance.
    Guide the company through the process of Pre-IPO financing, including structuring private placements, equity rounds, and other fundraising mechanisms.
    Partner with legal and finance teams to ensure all IPO-related documentation is prepared and compliant with regulatory requirements.
  3. Investor Relations & Network Development: Leverage an established network of high-net-worth individuals, venture capitalists, private equity firms, and institutional investors to secure funding.
    Build and maintain relationships with investors, handling negotiations, term sheets, and managing investor inquiries.
    Represent the company in roadshows, investor meetings, and other capital-raising activities to generate investor interest.
  4. Equity & Dilution Analysis: Conduct detailed financial modeling and analysis to assess the impact of potential fundraising on company equity and shareholder dilution.
    Advise executive teams on dilution risks and potential strategies for mitigating shareholder dilution during various funding rounds.
    Provide strategic recommendations on optimal equity structures to ensure long-term value and minimize the impact on core stakeholders.
  5. Market Analysis & Risk Management: Stay informed on industry trends, market conditions, and competitive financing strategies to identify fundraising opportunities.
    Assess and mitigate risks related to share dilution, market fluctuations, and external funding challenges.
  6. Internal Collaboration: Work closely with finance, legal, and executive teams to execute fundraising strategies efficiently.
    Ensure clear communication of funding strategies, investor relations efforts, and share dilution impact across the organization.
Qualifications:
  • Education: Bachelor's degree in Finance, Economics, Business, or related field. An MBA or similar advanced degree is preferred.
  • Experience: 7+ years of experience in investment banking, venture capital, or private equity with a focus on fundraising, Pre-IPO, and IPO processes.
  • Proven experience managing share dilution during multiple funding rounds, including at least one IPO experience.
  • Deep connections with high-net-worth individuals, institutional investors, and venture capital firms.
  • Strong understanding of financial markets, IPO processes, and equity structuring.
  • Skills & Competencies: Strong leadership, negotiation, and interpersonal skills.
  • High-level analytical skills with expertise in financial modeling, valuation, and dilution management.
  • Ability to thrive in a high-pressure environment and manage complex, multi-faceted projects.
  • Knowledge of regulatory requirements related to IPO processes and fundraising.
  • Proficient in financial software and Microsoft Office Suite (Excel, PowerPoint, etc.).
